Ad hoc announcement according to § 15 WpHG

Versatel sets offer price at 29 Euro

Today German telecommunications provider Versatel, jointly with the
selling shareholder and the Joint Bookrunners Credit Suisse, Deutsche
Bank and J.P. Morgan, have set the final offer price at 29 Euro per
share. A total of 28,577,500 shares were placed. Hereof, 14,000,000
shares originate from a capital increase, 10,850,000 shares came from
the holdings of the selling shareholder and 3,727,000 shares
originate from the holdings of the selling shareholder with respect
to an over-allotment granted to the underwriters.

The trading on the official market (Amtlicher Markt) in the Prime
Standard of the Frankfurt Stock Exchange will commence on April 27,
2007 under the trading symbol VTW and the ISIN DE000A0M2ZK2
(International Securities Identification Number). The delivery of the
shares in exchange for payment of the offering price and the
customary securities commission is expected to take place on May 2,
2007.
