feratel takes over Sitour subsidiaries

"The talks about acquiring a majority interest in the Austrian,
Italian, Czech and Slovakian subsidies of Sitour Management GmbH that
had started at the beginning of October last year have been
successfully completed now. Taking effect retrospectively - cut-off
date February 1 - the Austrian subsidiary will be under the umbrella
of feratel media technologies AG at 100 %, the Italian, Slovakian and
Czech subsidies at 90 % each ", reports Markus Schröcksnadel,
Chairman of the Managing Board of the listed company feratel.

The core business of these companies, whose cumulative sales amount
to about 10 million euros, is outdoor advertising in skiing areas in
combination with slope marking and slope routing systems. "The
purpose of the takeover is to round off the range of feratel products
by complementing feratel’s electronic forms of advertising with the
classical advertising of Sitour. The new subsidiaries in the Czech
Republic and in Slovakia have already been successfully selling the
feratel products Panorama and Deskline in the past few years. Now the
takeover allows us to speed up our expansion in the East ", says Mr.
Schröcksnadel.

The purchase price of 10.4 million euros will be paid partly in cash
and partly in the form of a capital increase through non-cash
contributions to the exclusion of the subscription right, which was
already approved by the last shareholders’ meeting.
