Ad hoc Notification Pursuant to § 15 of the German Securities Trading
Act (WpHG)

London, 26 October 2012 - Air Berlin PLC intends to increase by way
of a private placement of further notes to institutional investors
the volume of its bond placed on 1 November 2011 with an aggregate
principal amount of EUR 100 million, a coupon of 11.5% per annum and
a maturity of 1 November 2014 (ISIN DE000AB100C2). It is intended to
issue an additional tranche of notes in the aggregate principal
amount of up to EUR 50 million. As a result, the total principal
amount of the bond would be increased to up to EUR 150 million. The
additional notes are to be issued at 101% of their principal amount.
The terms and conditions of the bond including its maturity date of 1
November 2014 will continue to apply (also to the additional notes)
without any change. The issue date of the additional notes is
expected to be on or about 1 November 2012. The additional notes
shall be included in the Bondm trading segment of the open market
(Freiverkehr) of the Baden-Württemberg Stock Exchange in Stuttgart
and listed on the Main Securities Market of the Irish Stock Exchange
until the next interest payment date which is 1 February 2013 at the
latest. Air Berlin PLC intends to use the proceeds from the sale of
the bonds for general corporate purposes. quirin bank AG is the Lead
Manager of the increase of the bond issue.
