The Supervisory Board of the SoftM Software und Beratung AG (ISIN:
DE0007249104), Munich, decided on July 10, 2006 to acquire up to
150,000 own shares of the company stock with a nominal worth of EUR 1
per share on the stock exchange, during a time frame beginning on
July 11, 2006 and ending on December 25, 2007. The basis for this
share buyback is the authorization given by the duly convened Annual
General Meeting of June 6, 2006 to purchase own shares of up to 10%
of share capital of the company in accordance with §71 para. 1, nr. 8
Companies Act. The Company holds 65,593 own shares at present. The
purchased shares are to be held ready for specific acquisition
purposes decided upon at the Annual General Meeting of June 26, 2006.

The Bayerische Hypo- und Vereinsbank AG, Munich has been authorized
to carry out the purchase and will independently and without any
company influence decide upon the amount of shares to be purchased as
well as the price and time of purchase. In accordance with the Annual
General Meeting of June 26, 2006, the purchase price may not exceed,
or respectively be less than 10% of the final quotation for company
shares of the same class in trading on the last five trading days of
the Frankfurt Stock Exchange. The amount of shares may not exceed 25%
of the average daily share volume of the regulated market in which
the sale is conducted. This share volume is to be determined by the
daily volume of trade in the month before the announcement of the
program.

All transactions conducted within the framework of the share buyback
program will be published on the SoftM Software und Beratung AG web
site.
