Saarbruecken - August 21st 2013. ItN Nanovation AG (ISIN DE000A0JL461)
announces that the General Meeting of the company today has approved a
capital increase against cash contributions from EUR 11,832,766.00 by up to
EUR 1,687,441.00 to up to EUR 13,520,207.00 in Saarbruecken. A total of up
to 1,687,441 new bearer shares with a notional value of EUR 1.00 per share
will be issued.
The Management Board has been authorized to determine the subscription
price within a range of EUR 1.00 per share and a maximum of EUR 2.27 per
share subject to the approval of the Supervisory Board. Hence the gross
proceeds of this capital measure can amount to up to EUR 3.83 million. The
shares will be offered to the existing shareholders via indirect
subscription rights.
The capital increase is intended to support the urgent improvement of the
balance sheet ratios and the financing of the future company growth. It
will be primarily used to strengthen working capital to handle recently
acquired major orders from Saudi Arabia. This resolution becomes invalid if
the capital measure is not entered into the commercial register of the
district court of Saarbruecken by November 21st 2013. Once the resolutions
of the General Meeting have been entered in the commercial register and
details of the capital measure have been specified by the Management Board,
its implementation can start.
