Progress-Werk Oberkirch AG: Company determines subscription price for
new shares from capital increase at EUR 36.50

Oberkirch, May 7, 2012 - The Management Board of Progress-Werk
Oberkirch AG determined today, with the approval of the Supervisory
Board, the subscription price for the up to 625,000 new shares that
can be subscribed exclusively by the company's shareholders as
part of the capital increase resolved on April 23, 2012. The new
shares can be subscribed at EUR 36.50 per share. This means a
discount of approximately 9.7% on the Xetra closing price of EUR
40.44 per share of the company on the Frankfurt Stock Exchange on
May 4, 2012.

The period during which the subscription rights can be exercised will
expire on May 14, 2012, 12:00 pm (CEST). Subscription rights not
exercised in due time will lapse worthless. The subscription
rights are not tradeable.
