Precious Woods Holding Ltd is to issue up to 300,000 registered
shares, each with a par value of CHF 50, as part of a share capital
increase. The new shares will among others be issued by a private
placement with a limited group of institutional investors.

On 11 April 2007, Precious Woods Holding AG acquired majority
holdings via its subsidiaries in CEB and TGI, companies both based in
Libreville, Gabon. The Board of Directors of Precious Woods Holding
AG resolved to increase its share capital by up to CHF 15 million by
issuing up to 300,000 new registered shares, each with a par value of
CHF 50, from authorised capital. Of these, a part of the registered
shares will be issued via a contribution in kind in relation to these
acquisitions. Additionally up to around 210,000 registered shares
will be placed privately with a limited group of institutional
investors. The placement price should be within a range of CHF 115
and CHF 116.50. The funds from this tranche will partly be used to
refinance this acquisition.

Zürcher Kantonalbank was appointed Lead Manager for the transaction.

reforestation, the sustainable management of tropical forests, wood
processing and trading in FSC-certified wood products. The generation
of emission rights and production of electricity from wood waste are
