Ad hoc announcement to § 15 WpHG

Versatel plans to issue senior secured floating rate notes

Düsseldorf, June 8, 2007 - The management board of Versatel AG
decided, with the approval of the supervisory board, to issue Euro
525 million of senior secured floating rate notes due 2014 subject
to market and other conditions.

The senior secured floating rate notes shall be offered to
institutional investors outside the United States of America pursuant
to Regulation S of the U.S. Securities Act of 1933, as
amended (the "Securities Act") and to "qualified institutional
buyers" in the United States of America pursuant to Rule 144A of
the Securities Act. The road show for bringing the notes to market
shall start within the next few days.

The predominant portion of the proceeds from the offering of the
notes shall be used to refinance a bridge facility which was
entered into by Versatel on April 26, 2007 in connection with its
initial public offering for purposes of refinancing senior credit
and second lien facilities taken out in 2006 in connection
with the financing of the Tropolys acquisition. Such refinancing
took place on May 2, 2007, together with a portion of the proceeds
from the initial public offering of Versatel AG.

The Notes shall be listed on the Alternative Securities Market of
the Irish stock exchange.
