. ANNUAL GENERAL MEETING OF SHAREHOLDERS ON MAY 23, 2007 TO DECIDE ON
PROPOSAL FOR CAPITAL INCREASE

Berlin, April 5, 2007 - The Management Board of Beta Systems Software
AG (BSS, ISIN DE0005224406) has today decided to make the proposal at
the Company's Annual General Meeting to be held on May 23, 2007 for
an increase in the ordinary share capital of the Company by means of
a cash contribution. By means of issue of up to 4,429,638 shares in
the name of the holder the ordinary share capital of the Company is
to be increased by up to Euro 5,758,529.40 from Euro 11,517,058.80 up
to Euro 17,275,588.20. The new shares are to be issued at the lowest
amount advanced of Euro 1.30 per ordinary share, and are to partake
in the profit distribution from the beginning of that fiscal year for
which, at the time of issue, no resolution concerning the
appropriation has yet been passed by the Annual General Meeting. The
new shares are to be offered to the shareholders in the way of
indirect options on new shares in a ratio of 2 : 1 at an exercise
price of between Euro 2.00 and Euro 2.50 per ordinary share.
