Hamburg / freenet.de AG - freenet.de AG and Tiscali SpA announce that
a purchase agreement has been signed today, under which freenet will
acquire Tiscali Germany’s B2C narrowband and broadband customer
relationships. At year-end 2006, Tiscali had around 380,000 active
such customers in Germany, of which approximately one third were
broadband customers. The purchase price, which will be paid in cash,
will be based on the number of actual customer numbers at the time
the transaction is completed and is expected to be approx. EUR30
million. The transaction is also subject to fulfillment of normal
closing conditions, including antitrust approval, and is expected to
complete by first quarter of 2007.
