Cuxhaven, November 22, 2006 - The shares of Plambeck Neue Energien AG (ISIN: DE000A0JBPG2), to be issued in the frame of a capital increase, can be subscribed for at the price of 1.50 Euro. The shareholders are granted a right to subscribe in a ratio of 2:1. The shareholders may use this subscription right from November 27 until December 11 2006. Shares not subscribed by the shareholders are to be taken from an investor within the framework of a private placement. There will be no public offer. The capital increase is being accompanied by the VEM Aktienbank AG, Munich.
The funds taken in from the capital increase are essentially to be used to reduce loans. As a result of significant discounts in the offers of the banks in existence for the redemption of the loans, Plambeck Neue Energien AG can achieve extraordinary income of up to 7.2 mill. Euro from this in this fiscal year.
The approved capital will be used in order to increase the company's share capital from currently 25.1 Euro to up to 37.5 Euro by issuing up to 12.4 new individual bearer shares with a calculatory share in the capital of 1.00 Euro each against cash contributions. The issue price has not yet been set. The new shares participate in the profits from January 1, 2006.
