Stuttgart, May 29, 2006 - Heiler Software AG, one of the leading
providers of electronic product information management (PIM)- and
catalog solutions, acquires all shares of OKS Software AG, Kernen
i.R.

The Management Board of Heiler Software AG and the shareholders of
OKS Software AG signed today a contract for the acquisition of all
shares of OKS Software AG. The shareholders of OKS Software AG will
bring their shares into Heiler Software AG in exchange for 441,000
new shares from the Authorized Capital of Heiler Software AG.
Additionally, the shareholders of OKS will receive cash in a low
one-digit million figure. The Supervisory Board of Heiler Software AG
already agreed to the capital increase with exclusion of the purchase
right and to the transfer of assets contract.

OKS Software AG develops and sells under the brand OPAS-G web-based
software products with the main focus on the areas Media Asset
Management and Print Media Publishing. The profitable company
possesses approximately 170 customers and employs approximately 20
employees.

With the takeover of OKS Software AG, Heiler Software AG consequently
continues its strategic orientation as a software- and solution
provider for company-wide platforms for the procurement,
administration and distribution of product information and catalog
data and adds to its portfolio the areas Media Asset Management and
Print Media Publishing solutions.
