has informed us on its own behalf and on behalf of such further
subsidiaries as mentioned below according to Article 21, Section 1,
and Article 24 WpHG that:

1. MSDW Equity Finance Services (I) Cayman Ltd., c/o M&C Corporate
Services Limited, George Town, Grand Cayman, Cayman Islands as at 24
April 2008, has exceeded the threshold of 3% of the voting rights of
Software AG, Darmstadt, Germany, ISIN: DE0003304002, WKN: 330400, and
on that day holds 4.19% of the voting rights (=1,197,200 shares); and

2. Each of the following holding entities of MSDW Equity Finance
Services (I) Cayman Ltd, I. Morgan Stanley, The Corporation Trust
Company, The Corporation Trust Center, Wilmington, Delaware DE 19801,
USA; and II. MSDW Offshore Equity Services Inc, The Corporation Trust
Company, The Corporation Trust Center, Wilmington, Delaware DE 19801,
USA

on April 24, has also exceeded the threshold of 3% of the voting
rights of Software AG, Darmstadt, Germany, ISIN: DE0003304002, WKN:
330400.

Each of the holding entities mentioned under I. and II. on that day
hold 4.19% 1,197,200 shares, each carrying one voting right and based
on an issued share capital of 28,575,468 shares, whereby the
aforementioned voting rights have to be attributed to each of the
entities mentioned above under I. and II. according to Article 22,
Section 1, Sentence 1, No. 1 WpHG. The attribution occurs from the
entity mentioned under 1 above to each of the entities set forth
under 2(I) and (II) above.
