Ad hoc Notification Pursuant to § 15 WpHG (German Securities Trading Act): Public Purchase Offer for Shares in Profdoc ASA
CompuGROUP Holding AG (Coblence, Germany) has informed Profdoc ASA that it intends to present a voluntary public purchase offer to the remaining shareholders of Profdoc ASA. In detail, CompuGROUP Holding AG, announces that it holds shares in the amount of 10.322 % of Profdoc ASA's original stock since 18.04.2008. CompuGROUP states:
"On 21.04.2008 CompuGROUP Holding AG has decided to present a voluntary public purchase offer to the remaining shareholders of Profdoc ASA for the purpose of the purchase of this company's shares."
CompuGROUP Holding AG plans to offer the remaining shareholders a purchase price per share of NOK 30.00 in the context of its voluntary public offer. The offer shall be made inter alia under the condition precedent that CompuGROUP Holding AG owns at least 90% of the original stock of Profdoc ASA, taking into consideration the shares already held by CompuGROUP Holding AG when the public offer has been made.
