As part of its already announced divestment programme, Valora Holding
AG has signed an agreement for the sale of three of its five
production companies - Roland Murten AG, Kägi Söhne AG and Cansimag
France SA. The buyer is Argos Soditic, an established investment
company with offices in Geneva, Paris and Milan. The agreement covers
the sale of 100% of the share capital of each of the three companies
named above and of the brand rights associated with them. Argos
Soditic intends to manage these production companies independently of
each other in future, strategically re-positioning each of them in
their respective markets. The firms´ staff will continue to be
employed on the terms applying hitherto.

Both parties have agreed not to disclose the selling price agreed
between them. The sale will be finalised once the Bundeskartellamt,
the Federal German authority regulating competition issues, has given
its approval to the transactions.

The signing of this sales agreement marks a further major step in
Valora´s strategy of focusing on its core businesses of retail, media
and trade distribution. Negotiations on the sale of the two remaining
production companies, Gillebagaren AB in Sweden and Sørlandschips A/S
in Norway, are in progress. Valora will make an announcement
concerning these when appropriate.
