Karlsruhe/Germany, December 27, 2007. ComBOTS AG announces that,
based on today´s decision by the Executive Board and Supervisory
Board, it is to contribute 17 million out of its total of 23.2
million shares in United Internet AG to ComBOTS International GmbH,
Karlsruhe, a wholly owned affiliate - through ComBOTS Product GmbH. A
decision will be taken in due time about the contribution value of
the shares in the commercial balance sheet as of December 31, 2007
involving a possible realization of hidden reserves in the commercial
balance sheet 2007 of ComBOTS AG. At the same time, the company
announces that the entire shareholding of the Group in United
Internet is qualified as a pure financial investment whose economic
development is continuously reviewed against the backdrop of the
capital market situation.
Explanations: Since the divestiture of its Portal business in 2005
ComBOTS AG has held a total of 23.2 million shares in United Internet
AG with a carrying value of EUR 6.65 per share in the commercial
balance sheet. Based on current share prices (Xetra closing price on
December 21, 2007: EUR 16.62), the contributed 17 million shares
currently include hidden reserves of EUR 169.5 million.
